Engineering Agreement

Dear Recipient (“Recipient”),

Lilz Inc., 2F 2-3-7 Ganeko, Ginowan, Okinawa 901-2214, Japan, (“Supplier”) kindly requests Recipient to accept the terms and conditions below for the purpose set forth in Section 1 (this “Agreement”).

1. Purpose

Supplier agrees to provide one (1) unit of an engineering sample camera (the “Product”) to the Recipient for the sole purpose of Collaboration discussions related to the LiLz remote inspection IoT and AI service.

2. Product Details

- Item: Engineering Sample Camera / 試作品カメラ
- Product name: LC-11p
- CE Marking: Not certified
- Quantity: 1 unit
- Ownership: Remains with Supplier(Unless otherwise agreed)
- Value : USD 100 (for customs declaration only)

3. Restrictions

- The Product shall not be sold, distributed, or used for any commercial purpose.
- The Recipient shall not market or promote the Product publicly.　
- The Product must not be integrated into any final goods.

4. Return or Disposal

Upon completion of evaluation, the Product shall be either:
☐ Returned to the Supplier
☐ Properly disposed of by the Recipient
(Mark the applicable)** The Recipient shall provide photographic evidence of the destruction to the Supplier via email within five (5) business days of disposal.

5. Liability

Supplier provides the Product “as is” with no warranty, expressed or implied.
